These Terms and Conditions ("Terms") govern your use of seshsure.com (the "Site") and every purchase of products from Vido Manufacturing & Distribution Corp, a Colorado corporation doing business as SeshSure ("SeshSure," "we," "us"). By using the Site, submitting a form, or placing an order, you agree to these Terms. If you are acting for a company, you confirm you have authority to bind it.
1. Who we sell to
SeshSure sells business-to-business only, to licensed cannabis operators, pre-roll manufacturers, distributors, and other commercial buyers in the United States and Canada, and only to persons 21 years of age or older. We do not sell to consumers. We may ask for licence numbers or business documentation and may decline or cancel any order where eligibility cannot be confirmed.
2. What our products are
SeshSure products are pre-roll cones, filter tips, and related smoking accessories. They are paper and accessory goods only. They contain no cannabis, hemp-derived cannabinoids, tobacco, or nicotine, and we make no claims about any substance you choose to put in them. You are solely responsible for complying with the laws, regulations, labelling and testing rules that apply to your business and to the finished products you sell.
3. Quotes, purchase orders, and the contract
Prices are not published on the Site. Every order begins with a written quote from SeshSure, which is valid for the period stated on it (30 days unless otherwise stated). A contract for sale is formed only when we accept your purchase order or written confirmation in writing (including email). Specifications, quantities, print artwork, pricing, lead times, and shipping method are those stated in the accepted quote and purchase order, which take precedence over any general description on the Site. Site content is informational and does not constitute an offer.
4. Payment
Unless your accepted quote says otherwise, orders are payable 50% as a deposit at order placement and 50% before or at delivery. Production does not begin until the deposit clears. Accepted payment methods are those stated on the invoice. Amounts not paid when due accrue interest at 1.5% per month (or the maximum lawful rate, if lower) plus reasonable collection costs. We may suspend production or shipment while any amount is overdue, and we may set off amounts you owe against any credit due to you.
5. Custom and branded orders
Branded, private-label, and custom-size orders are made to your specification. You must approve the final artwork proof and specification in writing before production. You are responsible for the content of your artwork and warrant that you own or are licensed to use every logo, mark, and design you supply, and that it complies with the advertising and packaging rules in each jurisdiction where you sell. Once a proof is approved and production has started, custom orders cannot be cancelled and are not returnable except for defects (Section 9). Deposits on cancelled custom orders are non-refundable to the extent of costs incurred.
6. Lead times and delivery
Lead times are estimates measured from deposit clearance and final proof approval. They depend on production scheduling, ocean or air freight, customs clearance, and events outside our control. We will keep you informed of material changes but are not liable for delay. Delivery dates are not of the essence unless we expressly agree in writing.
7. Shipping, title, and risk
Shipping terms, carrier, and costs are stated in your quote. Sea freight is standard; air freight is available on any order at an upcharge. Unless your quote says otherwise, title and risk of loss pass to you when the goods are delivered to your nominated delivery address in the United States or Canada. You are responsible for providing a correct, accessible delivery address and for any duties, taxes, or fees applicable to your purchase. See also our Shipping & Returns Policy.
8. Inspection and acceptance
Inspect goods on receipt. Visible transit damage must be noted on the carrier's delivery record and reported to us within 2 business days with photographs. Shortages or non-conformity to the approved specification must be reported within 10 business days of delivery. Goods not reported within these periods are deemed accepted. Natural paper products vary slightly in colour and texture from lot to lot; variation within our published tolerances is not a defect.
9. Warranty and remedies
We warrant that goods will conform to the approved specification at delivery and will be free from defects in materials and workmanship for 60 days from delivery when stored in a cool, dry place in original packaging. Your exclusive remedy for a valid claim is, at our option, replacement of the non-conforming goods, a credit, or a refund of the price paid for those goods. EXCEPT AS STATED IN THIS SECTION, ALL GOODS ARE PROVIDED WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WHICH ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SESHSURE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST PRODUCT, DOWNTIME, OR REGULATORY PENALTIES, ARISING OUT OF OR RELATING TO THE SITE OR ANY ORDER, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ANY ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE GOODS GIVING RISE TO THE CLAIM. These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the extent permitted.
11. Compliance documentation
Certificates of analysis, material statements, and specification sheets are provided to licensed buyers on request for their own compliance use. They describe our goods as supplied and are not a representation about finished products you manufacture or sell.
12. Intellectual property
SESHSURE, The Social Cone™, Puff. Peel. Pass.™, the SESH|SURE plate logo, and the look of the Site are trademarks and trade dress of Vido Manufacturing & Distribution Corp. The peel-away mouthpiece is protected by granted patents in the United States and Canada and by pending applications; see our patent notice. Purchasing goods grants you no licence to make, have made, sell, or offer products practising those patents, and no licence to use our marks beyond reselling genuine SeshSure goods in their original form. Licensing enquiries go through our licensing page.
13. Site use
You may use the Site for lawful business purposes. You may not scrape the Site for commercial resale of its content, interfere with its operation, submit false information, or use our forms to send unsolicited messages. We may suspend access to anyone who misuses the Site. Content on the Site is provided for general information; while we try to keep it accurate, specifications and availability are only binding in an accepted quote.
14. Third-party links and services
The Site may link to third-party sites and uses third-party services to host the Site and deliver email. We are not responsible for third-party content or practices.
15. Indemnity
You will defend and indemnify SeshSure and its officers, employees, and agents against claims, losses, and costs (including reasonable legal fees) arising from your artwork or marks, your breach of these Terms, your violation of law, or the products you manufacture, market, or sell using our goods.
16. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, port or customs delays, carrier failures, strikes, or shortages of materials. Payment obligations are not excused.
17. Governing law and disputes
These Terms and every order are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Douglas County, Colorado have exclusive jurisdiction, and each party consents to that venue. Before filing suit, the parties will attempt in good faith to resolve any dispute by direct discussion for 30 days.
18. General
These Terms, your accepted quote and purchase order, and our Shipping & Returns and Privacy policies are the entire agreement between us for the Site and your orders. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign an order without our written consent. We may update these Terms by posting a new version on the Site; the version in force when an order is accepted governs that order.
